1. Acceptance of Terms
By accessing or using the website www.panzhuan.shop (the "Site") operated by Hefei Panzhuan Network Technology Co., Ltd. ("Panzhuan Tech," "we," "us," or "our"), or by engaging our services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not access or use the Site or our services.
These Terms constitute a legally binding agreement between you ("Client," "User," or "you") and Panzhuan Tech. We reserve the right to update or modify these Terms at any time. Continued use of the Site or services after changes constitutes acceptance of the revised Terms.

3. Services Overview
Panzhuan Tech provides professional computer systems design and integration services, including but not limited to:
- Systems architecture design and planning

- Technical consulting and advisory services
- Research and development for emerging technologies
The specific scope, deliverables, timeline, and fees for each engagement shall be defined in a separate Statement of Work (SOW), Service Agreement, or Order Form executed by both parties.
4. Use of the Website
4.1 Permitted Use
You are granted a limited, non-exclusive, non-transferable license to access and use the Site for lawful purposes related to evaluating and engaging our services. You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable laws or regulations.
- Attempt to gain unauthorized access to any part of the Site, servers, or systems.
- Interfere with the proper functioning of the Site, including introducing malware, viruses, or other harmful code.

5. Engagement of Professional Services
5.1 Proposal and Acceptance
Service engagements are initiated through our proposal process. A proposal, quote, or SOW provided by Panzhuan Tech is valid for the period stated therein. Acceptance occurs when the Client signs the proposal/SOW or provides written confirmation via email. No services shall commence without a formally accepted agreement.
5.2 Client Responsibilities
The Client agrees to:
- Provide accurate, complete, and timely information necessary for the delivery of services.
- Designate a point of contact authorized to make decisions and provide approvals.
- Provide reasonable access to systems, facilities, and personnel as required.
- Obtain all necessary permissions, licenses, and consents required for the services.
- Review and accept deliverables within the specified review periods.
5.3 Fees and Payment
Fees are as specified in the applicable SOW or Service Agreement. Payment terms are net thirty (30) days from the invoice date unless otherwise agreed. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. The Client is responsible for all applicable taxes, duties, and levies.
5.4 Change Orders
Any changes to the scope of work, deliverables, timeline, or fees must be documented in a written Change Order signed by both parties. Panzhuan Tech is not obligated to perform work outside the agreed scope without a formal Change Order.
6. Intellectual Property Rights
6.1 Deliverables
Upon full payment of all fees due, Panzhuan Tech assigns to the Client all intellectual property rights in the custom deliverables specifically developed for the Client under the applicable SOW, except for any pre-existing materials, tools, methodologies, and frameworks owned by Panzhuan Tech (collectively, "Panzhuan Background IP").
6.2 Panzhuan Background IP
Panzhuan Tech retains all rights, title, and interest in and to its pre-existing intellectual property, tools, libraries, methodologies, templates, and know-how used in the delivery of services. The Client is granted a non-exclusive, perpetual, royalty-free license to use Panzhuan Background IP solely as incorporated into the deliverables for their intended purpose.
6.3 Feedback
Any suggestions, ideas, or feedback provided by the Client regarding our services may be used by Panzhuan Tech without obligation or compensation.
7. Confidentiality
7.1 Definition
"Confidential Information" means any non-public information disclosed by one party (the "Disclosing Party") to the other (the "Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.
7.2 Obligations
The Receiving Party agrees to: (a) use Confidential Information only for the purpose of the engagement; (b) protect Confidential Information using at least the same degree of care as it uses to protect its own confidential information; (c) not disclose Confidential Information to third parties without prior written consent, except to employees and contractors with a need-to-know who are bound by comparable confidentiality obligations.
7.3 Exclusions
Confidential Information does not include information that: (a) is or becomes publicly available through no fault of the Receiving Party; (b) was rightfully in the Receiving Party's possession prior to disclosure; (c) is independently developed by the Receiving Party without use of Confidential Information; or (d) is required to be disclosed by law or court order.
8. Warranties and Disclaimers
8.1 Service Warranty
Panzhuan Tech warrants that services will be performed in a professional manner consistent with industry standards. If services do not conform to this warranty, Panzhuan Tech will, at its option, re-perform the non-conforming services or provide a refund of fees paid for those services.
8.2 Website Disclaimer
THE SITE AND ALL CONTENT PROVIDED THEREIN ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. PANZHUAN TECH DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PANZHUAN TECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OF THE SITE OR SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE.
Panzhuan Tech's total aggregate liability for any claims arising under these Terms or any service engagement shall not exceed the total fees paid by the Client for the specific services giving rise to the claim during the twelve (12) months preceding the event giving rise to liability. Some jurisdictions do not allow limitations on implied warranties or exclusions of liability for certain damages, so the above limitations may not apply to you.
10. Indemnification
The Client agrees to indemnify, defend, and hold harmless Panzhuan Tech, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) the Client's use of the Site in violation of these Terms; (b) the Client's breach of any applicable law or regulation; or (c) claims by third parties arising from the Client's use of deliverables in a manner not authorized by these Terms or the applicable SOW.
11. Term and Termination
11.1 Website Access
Your right to access the Site begins upon your first visit and continues until terminated by either party. We may suspend or terminate your access at any time for violation of these Terms without prior notice.
11.2 Service Agreements
Service engagements continue for the term specified in the applicable SOW or until completion. Either party may terminate a service engagement for material breach if the breach remains uncured for thirty (30) days after written notice. Panzhuan Tech may terminate with immediate effect if the Client fails to make timely payment.
11.3 Effect of Termination
Upon termination: (a) the Client shall pay for all services rendered and expenses incurred up to the effective date of termination; (b) each party shall return or destroy the other's Confidential Information; and (c) provisions relating to intellectual property, confidentiality, payment, and limitation of liability shall survive termination.
12. Governing Law and Dispute Resolution
These Terms and any service engagements shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles. Any disputes arising from these Terms or related services shall first be attempted to be resolved through good-faith negotiations. If the dispute cannot be resolved within thirty (30) days, it shall be submitted to binding arbitration in Hefei, Anhui, in accordance with the rules of the China International Economic and Trade Arbitration Commission (CIETAC).
13. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, civil unrest, strikes, pandemics, power outages, internet service disruptions, or failures of third-party infrastructure. The affected party shall promptly notify the other and resume performance as soon as reasonably practicable.
14. Entire Agreement
These Terms, together with any SOW, Service Agreement, Order Form, or other written agreements incorporated by reference, constitute the entire agreement between the parties with respect to the subject matter and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
15. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be reformed to the minimum extent necessary to make it enforceable while preserving its intent.
16. Waiver
No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term. Failure to enforce any right or provision shall not constitute a waiver of such right or provision.
